These Terms & Conditions of Service govern your access to and use of the LOX Capital website, investor onboarding processes, investor portal, and related electronic communications and services. By visiting the website, submitting information, opening or using an investor portal account, clicking to accept, or electronically signing LOX documents, you agree to these terms.
LOX Capital provides a public website, investor inquiry and onboarding workflows, investor administration support, electronic communications, and portal access connected to algorithmic digital asset investment operations. Information on the public site is general in nature and intended to support understanding of LOX services. Nothing on the website constitutes an offer, solicitation, or invitation in any jurisdiction where such activity would be unlawful or where registration, licensing, or approval would be required and not held by LOX. Access to investment-related functionality may be limited to approved users and may be subject to separate investor documentation. LOX may change, suspend, replace, or discontinue any part of the website, portal, or related workflows at any time without liability, subject to applicable law and any investor-specific documents that apply.
You may use LOX services only if you have legal capacity to do so, are permitted to access the services under applicable law, and satisfy any eligibility criteria we apply from time to time. LOX may refuse, defer, restrict, suspend, or terminate onboarding, access, or services based on jurisdiction, investor classification, sanctions considerations, compliance concerns, or other lawful operational reasons, and may do so without providing a detailed explanation except where required by law.
You agree to provide accurate, current, and complete information during onboarding and throughout your relationship with LOX. We may request identity documents, residency information, tax information, source-of-funds information, beneficial ownership information, and other due diligence materials as part of KYC, AML, sanctions, fraud, or risk review. Approval is not guaranteed, and LOX may refuse, decline, defer, restrict, suspend, or discontinue onboarding where information is incomplete, inconsistent, unverifiable, or raises legal, compliance, or operational concerns, and may do so without providing a detailed explanation except where required by law.
You agree that LOX may rely on electronic acceptance methods, including checkbox acknowledgements, click-through acceptance, portal confirmations, and electronic signatures, as evidence of your agreement to terms, disclosures, notices, operational instructions, and related documents. Electronic records maintained by LOX or its service providers may be used to demonstrate acceptance, delivery, and instruction history.
Notices and communications. LOX may provide notices, disclosures, updates, and other communications by website posting, portal notification, email, secure link, or other designated electronic means. Subject to applicable law, such notices are deemed received when sent or made available.
If you receive investor portal access, you are responsible for maintaining the confidentiality of login credentials, devices, and access methods used in connection with your account. You must notify LOX promptly of suspected unauthorized access, credential compromise, suspicious activity, or security incidents affecting your portal use. We may rely on instructions and activity submitted through the portal unless and until we determine otherwise.
Reliance on information and instructions. LOX may rely on information and instructions submitted by or on behalf of you, including declarations, wallet or payment details, account details, portal instructions, and account activity, unless LOX has reason to believe they are unauthorized or inaccurate.
Subscription, funding, redemption, and withdrawal activity is subject to prevailing cut-off times, compliance review, operational procedures, liquidity conditions, exchange or counterparty constraints, and any governing investor documents. LOX does not guarantee same-day or immediate processing and may require additional verification, supporting information, or source-account confirmation before acting on a request. We may reject, delay, reverse, gate, or suspend processing where reasonably necessary to manage legal, compliance, operational, market, or investor protection risks.
Fees, charges, and economic terms applicable to LOX services or investments will be disclosed through the website, onboarding materials, investor documents, portal materials, or other communications as applicable. Where additional investor agreements or subscription documents apply, those documents will govern the specific fee arrangement for the relevant investor relationship.
Digital asset investing and algorithmic trading involve substantial risk. Risks may include extreme market volatility, illiquidity, exchange outages, execution failure, algorithmic or model error, leverage-related loss, cyber incidents, wallet or custody incidents, counterparty failure, operational disruption, adverse regulatory developments, sanctions impacts, pricing dislocations, and inability to exit positions at expected values. Past or simulated performance is not a guarantee of future results, and you may lose part or all of capital committed.
Nothing on the LOX website, in onboarding materials, or through the investor portal constitutes financial, investment, legal, accounting, or tax advice. LOX does not provide personalized recommendations through the public website. You are responsible for obtaining independent professional advice appropriate to your circumstances before making investment or legal decisions.
You may not use LOX services for unlawful, fraudulent, deceptive, abusive, or unauthorized purposes. Prohibited conduct includes providing false or misleading information, attempting sanctions evasion, submitting stolen or unauthorized funds, interfering with security controls, introducing malware, scraping or attacking the site, attempting unauthorized access, impersonation, money laundering activity, and any conduct that exposes LOX or other users to legal, regulatory, operational, or reputational harm.
Your use of LOX services is also subject to our Privacy Policy and our E-Sign Consent. Personal information submitted during onboarding or portal use may be processed for account administration, compliance review, fraud prevention, legal obligations, and operational support. Sensitive KYC and AML materials are handled through secure channels designated by LOX or its service providers rather than through the public website interface.
LOX may suspend, restrict, or terminate access to the website, onboarding workflows, portal, or specific investor functions at any time where reasonably necessary for security, compliance, fraud prevention, legal obligations, operational integrity, system maintenance, eligibility concerns, or suspected breach of these terms. We may also require additional information or re-verification as a condition of continued access. LOX may refuse, defer, restrict, suspend, or terminate services without providing a detailed explanation except where required by law.
The LOX website, branding, design, content, graphics, data presentation, software elements, and related materials are owned by LOX or its licensors unless otherwise stated. Subject to these terms, LOX grants you a limited, revocable, non-exclusive right to access and use the site for personal or internal evaluation purposes. No ownership rights are transferred to you.
The website, investor portal, and related services are provided on an "as is" and "as available" basis to the fullest extent permitted by law. LOX does not warrant uninterrupted availability, error-free performance, accuracy, completeness, fitness for a particular purpose, or that services will be free from delay, outage, malware, or security vulnerability.
To the fullest extent permitted by law, LOX and its affiliates, officers, employees, contractors, and service providers will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for loss of profits, revenue, opportunity, data, goodwill, or digital assets arising from or relating to your use of the website, onboarding process, investor portal, or reliance on materials made available through LOX services. Nothing in these terms excludes liability that cannot lawfully be excluded.
We may update these terms from time to time to reflect legal, operational, regulatory, or product changes. Updated terms become effective when posted unless a different effective date is stated. Continued use of LOX services after updated terms are posted constitutes acceptance of the revised terms to the extent permitted by law.
If you become an approved investor, additional subscription documents, investor letters, disclosures, account terms, redemption procedures, and other governing documents may apply to your relationship with LOX. To the extent of any inconsistency, the more specific investor-facing document will govern the relevant investment or account matter.
